Terms of Service

By accessing, purchasing, or using Persona in any way, you agree to be bound by these Terms of Service in full. If you do not agree, do not use the Service.

1. Service Description

Persona ("we", "us", "our", "Persona", operated by ELEVATE Labs) is an AI employee placement and licensing service. We design, configure, host, and maintain a named AI persona ("your Persona") on infrastructure owned and operated exclusively by ELEVATE Labs, accessible to you via a private, credentialed interface ("the Persona UX"). You ("you", "your", "Client") are granted a license to use your Persona under the terms below. You do not receive access to, control of, or rights to the underlying hosting infrastructure, source code, or deployment environment.

2. Eligibility

You must be at least 18 years old and operating a legitimate business to use the Service. By purchasing, you confirm you have the authority to bind your business to these Terms.

3. The License

Upon payment of the placement fee, you are granted a non-exclusive, non-transferable, revocable license ("the Persona License") to access and use your configured Persona via the Persona UX, for internal business use only, for as long as your account remains active and in good standing. The License does not include ownership of, or access to, the underlying infrastructure, codebase, prompt architecture, or Protocol engine that powers the Service.

4. What We Deliver

Upon payment of the placement fee, we deliver: a configured AI persona accessible through your private Persona UX login, a Protocol document defining how your persona behaves (which you own and may edit within the UX), a named identity for your persona, a 10-scenario QA pass, and a 1:1 handover session. Standard delivery is within 14 business days from receipt of a completed intake form. In some cases — complex industries, custom integrations, or multilingual configurations — delivery may extend to 4 weeks. This will be communicated upfront before payment is taken.

5. Timeline & Client Obligations

The 14-day delivery clock begins upon receipt of a completed intake form. The clock pauses if you do not respond to revision requests within 72 hours. You are responsible for providing accurate company information during onboarding.

6. Monthly License Fee, Reply Packs & Bundles

The Standard License ($99/month per persona) includes 500 replies per month, Protocol updates as needed, LSA Support (response within 4 business days), and a monthly performance review. Additional usage beyond 500 replies in a billing month is billed in Reply Packs of 500 replies for $10 per pack. Priority Support (response within 24 hours) is available as an add-on for an additional $20/month. Bundles of 2 to 6 personas under a single account receive a 25% discount on both placement and License fees for all personas in the bundle.

7. Payments

All payments are processed by Paddle.com (our Merchant of Record). Paddle handles billing, tax compliance, and payment processing. By purchasing, you agree to Paddle's terms of service at paddle.com/legal.

8. Suspension for Non-Payment

If a payment fails or is not received, we will suspend ("pause") your access to the Persona UX. Pausing is not deletion or termination — your Protocol, persona configuration, and account remain intact and are restored automatically upon successful payment. We reserve the right to terminate accounts with extended non-payment (90+ days) at our discretion.

9. Acceptable Use

You agree not to use Persona to: impersonate real individuals without consent, engage in fraud or deception in financial or legal contexts, sign contracts or make binding commitments as another person, or violate any applicable law. Personas are designed for B2B business communications only.

10. Restrictions & Penalties

You may not, and may not permit any third party to: reverse-engineer, decompile, disassemble, or otherwise attempt to extract or derive the source code, Protocol architecture, prompt structures, or any underlying technical implementation of the Service; access or attempt to access the hosting infrastructure, deployment environment, or any system not expressly provided to you via the Persona UX; copy, clone, or use Persona's methodology, branding, or technical approach to build, train, or operate a competing product or service; or disclose, share, or sublicense your Persona UX credentials to any party outside your organization.

Breach of this clause entitles ELEVATE Labs to immediate suspension or termination of your account without refund, and you agree to liquidated damages of $25,000 USD or our actual documented damages (whichever is greater), plus recovery of reasonable legal fees, in addition to any injunctive relief available under applicable law.

11. Intellectual Property

You own your Protocol content — the business rules, company information, and configuration you provide. ELEVATE Labs owns all rights to the Persona platform, infrastructure, prompt architecture, methodology, and underlying technology. Upon lawful termination of your account, we will provide you a written export of your Protocol document for your records; this does not include the platform, infrastructure, or any ELEVATE Labs proprietary technology.

12. Data Processing & GDPR

Where applicable, ELEVATE Labs acts as a data processor and you (the Client) act as the data controller for personal data processed through your Persona, in accordance with GDPR Article 28. A separate Data Processing Agreement (DPA) is available upon request and forms part of these Terms where executed. Our current sub-processors are listed on our Sub-processors page. We will provide 30 days' notice before adding any new sub-processor.

13. Limitation of Liability

Our liability is limited to the fees paid in the 30 days preceding any claim. We are not liable for indirect, incidental, or consequential damages arising from use of the Service, except in cases of breach under Section 10 (Restrictions & Penalties), gross negligence, or willful misconduct.

14. Termination

You may cancel your monthly License at any time with 30 days written notice to sofia@getpersona.pro. The placement fee is non-refundable after Protocol build begins (day 3 of engagement), per our Refund Policy.

15. Governing Law & Jurisdiction

These Terms are governed by, and construed in accordance with, the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of Tel Aviv, Israel.
